Content Publication Agreement

Between RichSubs Limited (“Company”, “Website”, “Service”, “we”, “richsubs.com”) and Creators.

This Agreement is made effective as of the Creator’s registration date, by and between RichSubs Limited, with its principal place of business located at St. Targova, 66A, office 26, Warsaw, Poland (ul. TARGOWA, nr 66A, lok. 26, miejsc. WARSZAWA, kod 03-734, poczta WARSZAWA, kraj POLSKA), herein referred to as the "Company" or (“Website”, “Service”, “we”, “richsubs.com”) and the undersigned content creator, herein referred to as the “Creators" or “Creator”.

Purpose

The purpose of this Agreement is to set forth the terms and conditions under which Creators may upload or generate content (the "Content") for display and distribution on the Company's website (“richsubs.com”).

Content Ownership and License

Creators affirm that they are the original creators of the Content or have obtained all necessary rights to the Content. Creators grant the Company a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, prepare derivative works of, display, and perform the Content in connection with the Company's website, richsubs.com, and its business.

Content Review and Moderation

Creators agree that the Content is subject to review by our moderation team before publication. Creators acknowledge that some Content may be removed after review if it does not comply with our standards or violates our Terms of Service. Furthermore, Creators agree not to publish Prohibited Content as defined in our Terms of Service. Frequent removal of Content may lead to account termination.

Age and Identity Verification

Creators confirm that they are at least 18 years of age and have reached the age of majority in their respective location, adhering to the requirement that all users must be of legal age to upload Content on the Company's website. Furthermore, Creators must pass identity verification according to our Identity Verification Policy before uploading any content.

Consent and Verification

  1. Written Consent: Creators agree to obtain written consent from all individuals depicted in the Content, if any, affirming their agreement to be depicted and to the use of such depictions by the Company as outlined in this Agreement.
  2. Identity and Age Verification: Creators agree that all individuals depicted in the content must be mentioned during publication, possess an account on richsubs.com, and pass the identity verification in accordance with our Identity Verification Policy.

Representations and Warranties

Creators represent and warrant that:

  • They have the full right, power, and authority to enter into this Agreement and to grant the rights granted herein.
  • The Content does not and will not violate any law or infringe upon the rights of any third party.
  • They have obtained all necessary consents, permissions, and rights required for the use of the Content as described herein.

Indemnification

Creators agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney fees, arising out of or in any way connected with the Content, the Creators' breach of any representations and warranties, and any violation of law or third-party rights by the Creators.

Termination

This Agreement shall enter into force upon the first use of the Service by the Creators and shall remain in effect until terminated under the following conditions:

  • Termination by the Company: The Company may, at its sole discretion and for any or no reason, suspend, deactivate, or terminate the Creator's account and right to use the Services. The Company may also block or prohibit access to and use of the Services at any time, without explanation and without notice. The Company reserves the right at any time to remove or block access to the Creator's account information, User Content, or data from our Services and any other records, in its sole discretion.
  • Termination by the Creator: The Creator may deactivate or terminate their account at any time, for any reason or no reason, by visiting the account "settings" page or by contacting the Company.

    • Upon termination, all rights and obligations of both parties cease, except for those rights and obligations that, by their nature, should survive termination, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

General Provisions

This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior agreements and understandings, both written and oral. This Agreement may only be amended in writing signed by both parties. IN WITNESS WHEREOF, the parties have executed this Agreement as of the Effective Date first above written.
